About Billease

Billease (First Digital Finance Corporation) is one of the Philippines’ leading consumer online lending platforms. As a capital-intensive financial services business, fundraising isn’t a one-time event. In 2024, Billease completed its Series C equity round. The company now pursues debt financing on an annual cycle while managing structured reporting obligations to existing lenders between raises.

Billease’s finance team uses Digify for two distinct workflows: active fundraising with prospective investors, and ongoing reporting to existing lenders. Both run through the same platform, with different access setups for each.

When Billease closed its Series C equity round, it wasn’t just a financial milestone. It was proof that their fundraising infrastructure could hold under real institutional pressure. 100+ external users, about 10GB of sensitive documentation, each requiring differentiated access tied to investor requirements.

All of it running through a single, controlled environment. That infrastructure ran on Digify.

Le problème

Prior to adopting a dedicated virtual data room, Billease managed investor document sharing through email and cloud storage. As the company scaled toward its Series C, this approach created three problems.

First, there was no governance. With 100+ external parties accessing about 10GB of sensitive financial and legal documents, email-based distribution meant no audit trail, no access revocation controls, and no certainty about who had seen what.

Second, version control became difficult during live diligence. Updating a financial model meant resending to every contact, with no guarantee potential investors were using the current version.

Third, Billease had multiple investor groups with different NDA scopes and different disclosure rights, and managing those distinctions manually across email threads was an operational and compliance liability at scale.

La solution

Billease adopted Digify as its primary virtual data room, the operational layer through which all capital activity flows, from first investor contact through post-close lender reporting.

Controlled access from day one.

The data room opens only after NDA execution. Every document view and session is logged within a defined legal framework, giving Billease a clear record of who engaged with what, and when.

Zero disruption during live diligence.

When financial models or legal documents are updated mid-process, Billease replaces files directly in the data room. The link stays the same. The folder structure stays the same. Investors always see the current version without a single email resend.

Differentiated disclosure at scale.

Managing 100+ investors across multiple groups, each with different NDA scopes and different rights to information, would otherwise mean manually revoking individual permissions, reorganizing access as conversations end, and tracking every disclosure decision. Digify handles this at the group level automatically.

Ongoing lender reporting on the same infrastructure.

After the Series C closed, the data room kept running. Existing lenders now receive secure access to regular reporting requirements — financial statements, operational updates, covenant compliance — through the same platform. Prospective investors are given NDA-limited access, while existing lenders retain access throughout the lending relationship.

"When a file needs updating, we just replace it in the same spot. Investors keep using the same link and always see the latest version."
Finance Team, Billease

Le résultat

The shift was structural.

Before Digify: investor documents sent over email and accumulated in inboxes Billease had no visibility into or control over. There was no clear audit trail and no certainty that recipients had the latest version. For a regulated financial services business managing sensitive disclosures at scale, this approach was becoming difficult to manage from a governance perspective.

After Digify: a single, governed environment where every document view is logged, every access permission is intentional, and every file update is automatically reflected for investors. Prospective investors enter after NDA execution with time-limited access, while existing lenders retain ongoing access for reporting. Both workflows run on the same platform but are managed separately.

The data room that supported 100+ users during the Series C is still in use today. It now supports annual debt financing rounds, structured lender reporting, and ongoing investor communication.

Rather than being used for a single fundraise, Digify has become the platform Billease uses to manage its capital and investor relationships.

"Before Digify, we worried about version control, access, and how our data room looked to investors. With Digify, our Series C process was structured, professional, and fully under control."
